These terms of use govern the use of the website, the system, the applications, the interfaces, the software-as-a-service (SaaS) services, the support, training, implementation, communication and hardware services and the related services of Smart Campus, operated by Smart Campus | Sveosoft, licensed dealer no. 336065909, of 24 Shai Agnon Blvd., Jerusalem, Israel, phone 050-350-3250, email: info@smart-campus.co.il.
These terms are written in the masculine form for convenience only and apply to all genders, singular and plural, as the context requires.
1.General
1.1.Smart Campus operates a software-as-a-service (SaaS) system for managing formal and informal educational institutions, boarding schools, youth villages, pre-military academies, non-profits, educational organizations and other educational frameworks.
1.2.Depending on the engagement with the customer, the system may include modules for managing users, attendance, entry and exit, reports, permissions, messages, documents, support, hardware, QR, integrations, SMS/WhatsApp/email services and other related services.
1.3.Use of the website, the system or any Smart Campus service constitutes confirmation that you have read the terms of use and the privacy policy and that you agree to act in accordance with them.
1.4.If you do not agree to the terms of use or the privacy policy, do not use the website, the system or the services.
2.Relationship between these terms and signed agreements
2.1.These terms of use apply in addition to any SaaS service agreement, order form, commercial annex, data processing addendum, privacy policy, price quote, support agreement or other contractual document signed between Smart Campus and a customer.
2.2.In the relationship between Smart Campus and a customer that has signed an agreement, in the event of a conflict between these terms of use and a signed agreement, the signed agreement shall prevail, unless it provides otherwise or the law requires otherwise.
2.3.With respect to end users, including managers, counselors, staff, employees, parents, guardians, students, participants and suppliers who received access to the system on behalf of a customer, these terms of use shall apply insofar as they are relevant to their use of the system.
2.4.The customer is responsible for ensuring that its users are familiar with the terms of use, the privacy policy and the relevant usage and security instructions.
3.Definitions
In this document:
“Smart Campus”, “the Company” or “the Service Provider”— Smart Campus | Sveosoft, licensed dealer no. 336065909.
“The System”— the Smart Campus system, including the website, software, applications, interfaces, modules, databases, cloud services, support services, hardware components, system documentation, designs, processes, algorithms and any related component.
“The Services”— any service provided through the system or in connection with it, including the license to use, support, training, maintenance, updates, backups, messages, SMS, WhatsApp, email, hardware, integrations and related services.
“Customer” or “Client”— an educational institution, boarding school, youth village, pre-military academy, non-profit, organization, company, authority, school, educational body or any other body that has engaged with Smart Campus.
“User”— any person who uses the website, the system or the services, including managers, counselors, employees, staff, parents, guardians, students, participants, suppliers, customer representatives and any other authorized party.
“Personal Information”— any information relating to an identified person or a person who can be identified, directly or indirectly, in accordance with the law.
“User Content” or “Entered Information”— any information, data, file, document, image, note, report, record or other content entered into the system by the customer, its users or anyone on its behalf.
4.License to use the system
4.1.Subject to the customer's and users' compliance with the terms of use, the signed agreement and payment of the consideration where set, Smart Campus grants the customer a limited, personal, non-exclusive, non-transferable and non-assignable license to use the system during the engagement period and to the extent set in the agreement or order form.
4.2.The license is granted for the customer's internal use only, in accordance with the educational, operational, organizational or managerial purposes for which the system was ordered.
4.3.The license, access to the system, user details, permissions, hardware or services may not be transferred to any third party without the prior written approval of Smart Campus.
4.4.Smart Campus may make access to the system conditional on compliance with information security requirements, user authentication, permission settings, use of MFA, training or any other reasonable condition.
5.User accounts, passwords and permissions
5.1.Each user must use a personal account only. Sharing an account, username, password, verification code, token, session or any other means of login is prohibited.
5.2.The user and the customer are responsible for keeping login details confidential and preventing unauthorized access to the system.
5.3.The customer is responsible for managing the permissions of users on its behalf, including opening users, updating permissions, restricting permissions, cancelling users who have left or no longer need access, and periodic review of permissions.
5.4.Strong, unique and non-reused passwords must be used. Where the system allows or requires multi-factor authentication, the customer and users undertake to enable it.
5.5.Smart Campus must be notified immediately of any suspected unauthorized access, password exposure, use of an account by another person, theft of a device, loss of a computer or any other security incident.
5.6.Smart Campus may block, restrict or cancel a user's access in the event of a suspected security incident, breach of the terms of use, misuse, termination of the engagement, the customer's request or a reasonable operational/security need.
5.7.The user undertakes not to connect to the system from unsecured public networks (Public Wi-Fi) without appropriate protection (such as a VPN), and not to download or store sensitive information, medical information or information about minors on public computers, portable devices (Disk-on-Key) or private devices that are not protected by a password and appropriate encryption.
6.Responsibility of the customer and the institution
6.1.The customer is responsible for the use made of the system by its users, employees, managers, students, participants, their parents and guardians, its suppliers or anyone who received access to the system on its behalf.
6.2.The customer is responsible for ensuring that the system is used in accordance with the law, Ministry of Education directives where applicable, regulatory guidelines, agreements with Smart Campus, these terms of use and the privacy policy.
6.3.The customer is responsible for the truthfulness, legality, accuracy, completeness and currency of the data entered into the system by it or by its users.
6.4.The customer is responsible for providing appropriate privacy notices to students, participants, parents, guardians, employees and any other end user, and for obtaining consents where required by law.
6.5.The customer is responsible for defining who is authorized to access information, ensuring a need-to-know principle only, and preventing users from accessing information they do not need.
6.6.The customer is responsible for ensuring that the end-user equipment from which its users access the system is secured, updated and protected, including computers, phones, tablets, networks, browsers and workstations.
7.Information about students, participants and minors
7.1.The system may include information about students, participants and minors. This information requires heightened care, restricted permissions, use for a defined purpose only and compliance with the law.
7.2.Medical, therapeutic, emotional, psychological, highly sensitive or other information that is not necessary for the use of the system must not be entered into the system, unless this is permitted by law, required for the customer's activity, and regulated by the appropriate notices and consents.
7.3.The customer is responsible for ensuring that the use of information about minors complies with the law, Ministry of Education directives where applicable, the institution's procedures, parent/guardian consents where required, and the provisions of the agreement with Smart Campus.
7.4.Smart Campus does not make educational, therapeutic, medical or pedagogical decisions in place of the customer or the institution's professionals. The system is a technological support tool only.
8.Permitted use of the system
8.1.The system may be used only for lawful, authorized and reasonable purposes, in accordance with the agreement with Smart Campus and the purposes for which the license was granted.
8.2.Use of the system shall be in accordance with Smart Campus instructions, user guides, information security procedures, support guidelines and rules provided from time to time.
8.3.Users undertake to act with care, proportionality and responsibility, and in a manner that does not harm privacy, information security, the rights of students, employees, parents or third parties, or the proper operation of the system.
9.Prohibited use
The following actions are strictly prohibited:
- aUsing the system for a purpose other than that for which permission was granted;
- bAccessing information, an account, an institution, a class, a group or a record without permission;
- cBypassing permission, security, identification mechanisms or usage restrictions;
- dSharing passwords, codes, tokens or login details;
- eCopying, exporting, downloading, photographing, publishing or transferring information from the system without permission;
- fTransferring personal or sensitive information by unsecured or unauthorized means;
- gEntering false, misleading, unlawful, offensive or infringing information into the system;
- hUploading malicious files, viruses, malware, harmful code or content that may damage the system;
- iPerforming scans, hacking attempts, penetration testing, reverse engineering, scraping, crawling or security analysis without prior written approval;
- jOverloading the system, disrupting its operation or impairing its availability;
- kCopying, duplicating, selling, renting, making available to a third party, modifying, translating, disassembling, reverse engineering or creating a derivative work from the system;
- lUsing the system to violate privacy, for unlawful surveillance, discrimination, harassment, defamation or any other unlawful act;
- mUsing information from the system for marketing, advertising, research, commerce, external product development or training AI systems without appropriate approval;
- nEntering information from the system into AI tools, translation tools, summarization tools, transcription tools, analysis tools, code tools or any other external service without prior approval and in accordance with the law;
- oUsing the system in a way that harms Smart Campus, its customers, its users, students, parents, employees or third parties.
- pSearching, viewing, disclosing or making any use of medical, therapeutic, emotional or psychological information of a minor or another user, unless this is directly, essentially and specifically required for performing your educational/therapeutic role at that time, and subject to the exact permissions granted to you by the institution.
10.Intellectual property
10.1.All intellectual property rights in the system, including source code, object code, algorithms, design, interfaces, databases, data structures, logo, trademarks, documentation, guides, graphics, processes, modules, updates, improvements, adaptations, developments and outputs — belong to Smart Campus or to whoever lawfully licensed them to it.
10.2.Nothing in these terms of use or in the use of the system grants the customer or the user ownership rights in the system or in the intellectual property of Smart Campus.
10.3.The customer and users may not register, claim ownership of, copy, duplicate, develop a competing product, reverse engineer or exploit the system, technology, design, structure, processes or documentation of Smart Campus without prior written approval.
10.4.Any feedback, suggestion, idea, development request, fix, improvement or recommendation provided to Smart Campus regarding the system may be used by Smart Campus to improve and develop the system, without any obligation to pay additional consideration, unless otherwise agreed in writing.
11.Ownership of entered information
11.1.User content and information entered into the system by the customer or its users shall remain the property of the customer or anyone on its behalf, as applicable.
11.2.The customer grants Smart Campus a limited, non-exclusive, royalty-free license to process the entered information solely for providing the services, operating the system, maintaining it, securing it, customer support, backup, operational improvement, compliance with legal obligations and performance of the agreement.
11.3.Smart Campus will not use a customer's personal information for a purpose unrelated to the services, unless permitted by law, by the agreement or by the customer's explicit approval.
11.4.Smart Campus may use anonymous, statistical or aggregate data that does not identify a person and does not allow reasonable identification of a customer or user, for security, measurement, service improvement, product development and performance analysis.
12.Privacy and information security
12.1.Use of the system is subject to the Smart Campus privacy policy, which forms an integral part of these terms of use.
12.2.The customer and users undertake not to use the system in a manner that violates the Privacy Protection Law, the Privacy Protection Regulations, Ministry of Education directives where applicable, the rights of minors, the rights of employees or the rights of third parties.
12.3.The customer is responsible for ensuring that it has an appropriate legal basis for collecting, entering, storing, processing and using the personal information it enters into the system.
12.4.The customer undertakes to transfer personal or sensitive information to Smart Campus, where required, only through secure channels approved by Smart Campus.
12.5.The customer and users undertake to report to Smart Campus without delay any information security incident, suspected data leak, password exposure, unauthorized access, information sent to the wrong recipient, loss of equipment, theft or suspected harm to information.
13.Use of AI, external tools and automations
13.1.Personal information, information about students, participants, parents or employees, code, system secrets, screenshots, reports, documents or any other information from the system may not be copied, exported, entered or shared with AI tools, chatbots, translation tools, summarization tools, transcription tools, code tools, analysis tools, automation tools or any other external service, without prior approval of the customer and Smart Campus and in accordance with the law.
13.2.No AI tool, bot, agent, plugin, automation, integration system or third-party tool may be connected to the Smart Campus system without the prior written approval of Smart Campus.
13.3.Any connection of an external system to the Smart Campus system must be made securely, with minimal permissions, appropriate documentation and in accordance with Smart Campus instructions.
13.4.Automated outputs, analyses, recommendations, reports or information produced by the system or any related tool are not a substitute for human, professional, educational, therapeutic, legal or managerial judgment.
14.Messages, SMS, WhatsApp and email
14.1.Where the system includes sending SMS, WhatsApp, email or other system messages, the customer is responsible for ensuring that these services are used in accordance with the law, including privacy, communications and anti-spam laws, Ministry of Education directives where applicable, and the required consents from recipients.
14.2.The customer is responsible for the content of the messages, the recipient lists, the accuracy of contact details, the purposes of sending and the permission to send messages to recipients.
14.3.With respect to messaging services, Smart Campus acts as a technology provider only and is not responsible for the content of messages or the legality of sending by the customer, unless explicitly stated otherwise in the agreement.
14.4.Smart Campus may restrict, suspend or block the sending of messages in the event of suspected misuse, violation of law, privacy infringement, recipient complaints, a demand from a communications provider or a security/operational need.
15.Hardware, QR and related equipment
15.1.Where Smart Campus supplies the customer with hardware components, tablets, QR stations, scanners, readers, cables or related equipment, the provisions of the agreement, the order form or the hardware annex shall apply to them.
15.2.The customer is responsible for maintaining the hardware, using it in accordance with Smart Campus instructions, and protecting it from loss, theft, damage, unauthorized use or unapproved modification.
15.3.The hardware may not be disassembled, modified, bypassed, duplicated, reconnected, have unapproved software installed on it or be used other than in accordance with Smart Campus instructions.
15.4.In the event of loss, theft, malfunction, damage or suspected unauthorized use of the hardware, the customer must notify Smart Campus without delay.
16.Availability, maintenance and updates
16.1.Smart Campus will make reasonable and professional efforts to keep the system available, secure and in good working order.
16.2.There may be disruptions, outages, malfunctions, maintenance work, updates, upgrades, changes, availability limitations or service interruptions due to technological, security or operational reasons, third-party providers, cloud infrastructure, communications, force majeure or circumstances beyond the control of Smart Campus.
16.3.Smart Campus may make updates, changes, fixes, upgrades, security adjustments and changes to the interface or functions of the system, at its professional discretion.
16.4.Smart Campus will make reasonable efforts to give advance notice of material planned maintenance work, where practicable.
16.5.Smart Campus does not warrant that the system will operate without faults, interruptions or defects, or that it will suit every specific need of every customer or user.
17.Support, training and service
17.1.Support, training, implementation, response hours, response times, the method of opening tickets, handling of faults and additional services will be provided in accordance with the agreement with the customer, the order form or the Smart Campus support policy.
17.2.Support may be provided remotely, by phone, by email, via remote connection, in a meeting or by any other means Smart Campus deems appropriate.
17.3.The customer undertakes to cooperate with Smart Campus in handling faults, including providing relevant information, documentation, blurred screenshots where necessary, fault details and appropriate access permissions.
17.4.Smart Campus is not responsible for faults resulting from use contrary to instructions, unapproved changes, faulty end-user equipment, an unstable network, third-party software, external hardware, use of an outdated version, or factors beyond its control.
18.Payments
18.1.Payment for the services, where required, will be set in the agreement, order form, price quote or commercial annex.
18.2.Failure to pay on time may result in restriction of services, blocking of access, suspension of support or termination of the engagement, subject to the agreement and the law.
18.3.Special services, developments, adaptations, non-standard exports, restoration, data transfer, additional training, non-standard support or handling not included in the agreement may be subject to additional payment, unless otherwise agreed in writing.
19.Reliance on the system and decision-making
19.1.The system is a technological support tool for managing information and processes. It does not replace professional, educational, therapeutic, medical, legal, safety or managerial judgment.
19.2.The customer, its managers and staff on its behalf are responsible for every decision, action, conclusion, assessment, treatment, report or step taken on the basis of information entered into or produced by the system.
19.3.Smart Campus is not responsible for educational, therapeutic, disciplinary, medical, managerial or organizational decisions of the customer or anyone on its behalf.
19.4.The customer is responsible for checking the accuracy, completeness, currency and suitability of the data before making decisions or taking actions.
20.External services and providers
20.1.The system may operate through external services, infrastructure and subprocessors, including cloud, hosting, backup, communications, SMS, WhatsApp, email, payment processing, information security, monitoring and support providers.
20.2.Smart Campus is not responsible for faults, outages or incidents arising from third-party services, external systems or integrations that the customer chose to activate on its own initiative and that are not authorized subprocessors acting directly on behalf of Smart Campus (including local communications providers, the institution's network services, or external AI tools).
20.3.Use of external services may be subject to the terms, restrictions and policies of those third parties.
21.Suspension, blocking and termination of use
21.1.Smart Campus may suspend, restrict, block or terminate access to the system or the services, in whole or in part, in the event of:
- aBreach of these terms of use;
- bBreach of an agreement with Smart Campus;
- cNon-payment;
- dSuspected security incident;
- eMisuse of the system;
- fInfringement of privacy or third-party rights;
- gA demand of a competent authority or a legal requirement;
- hRisk to the system, the information, customers, users or Smart Campus;
- iTermination of the engagement with the customer.
21.2.Smart Campus may cancel or restrict a user's permissions at the customer's request or if there is a reasonable suspicion of unauthorized use.
21.3.Termination of use does not derogate from the obligations of the customer and users regarding confidentiality, privacy, information security, intellectual property, payments, liability, indemnification and provisions that by their nature continue to apply after termination of use.
22.Export, return and deletion of information upon termination
22.1.Upon termination of the engagement, Smart Campus will allow the customer (the institutional account holder) to export the information available in the system in a standard format, for the period set in the signed agreement with it (as a rule, at least 7 business days).
22.2.After the end of the export period, Smart Campus may delete or block access to the information, subject to the law, the agreement and the customary backup and deletion cycles.
22.3.Deletion from backups may be carried out in accordance with the backup, restoration and deletion cycles of Smart Campus and its providers.
22.4.Special export services, conversion, restoration, transfer, interface development, non-standard technical assistance or handling of information beyond the standard export may be subject to additional payment, unless otherwise agreed in writing.
23.Liability and limitation of liability
23.1.Use of the website, the system and the services is provided on an “as is” and “as available” basis, subject to explicit commitments given in a signed agreement.
23.2.Smart Campus will make reasonable efforts to provide professional, proper and secure service, but does not warrant that the system will operate without faults, interruptions, errors or security risks, or in full conformity with every specific need of the customer.
23.3.Smart Campus shall not be liable for damages arising from:
- aUse contrary to the terms of use or the agreement;
- bIncorrect, incomplete, outdated or unlawful information entered by the customer or its users;
- cDecisions or actions of the customer or its users;
- dSharing passwords or poor permission management;
- eThe customer's end-user equipment, network, browser, hardware or software;
- fThird-party services;
- gForce majeure, cyberattacks, infrastructure failures or events beyond the control of Smart Campus;
- hUse of AI tools, automations, integrations or external services that were not approved.
23.4.Except as otherwise provided in a signed agreement or required by law, Smart Campus shall not be liable for indirect, consequential, special or punitive damages, loss of profits, loss of revenue, loss of data, damage to reputation or similar damage.
23.5.The limitation of liability shall apply to the maximum extent permitted by law.
24.Indemnification
24.1.The customer undertakes to indemnify Smart Campus for any damage, loss, expense, claim, demand, fine, cost or liability arising from:
- aUse of the system by the customer or its users contrary to the law or the terms of use;
- bEntering information contrary to the law;
- cFailure to provide privacy notices or to obtain required consents;
- dInfringement of third-party rights;
- eUnauthorized use of information;
- fSending messages contrary to the law;
- gPoor permission management;
- hAn information security breach caused by an act or omission of the customer or its users;
- iConnecting an external tool, AI, automation or integration without approval.
24.2.This section shall apply subject to the signed agreement between the parties and the law.
25.Changes to the terms of use
25.1.Smart Campus may update these terms of use from time to time, among other reasons due to changes in law, regulation, Ministry of Education directives, services, information security, technology or business needs.
25.2.An updated version will be published on the website. The date of the last update will appear at the top of the terms of use.
25.3.A material change to the terms of use, where required by law or by agreement, will be brought to the attention of customers or users in a reasonable manner.
25.4.Continued use of the website or the system after publication of updated terms shall be deemed consent to the updated terms, subject to the law and the agreement.
26.Accessibility
26.1.Smart Campus strives to make the website and services accessible in accordance with applicable law and reasonable technological capabilities.
26.2.Accessibility inquiries can be sent to info@smart-campus.co.il.
26.3.Where the website has a separate accessibility statement page, it shall apply in addition to these terms of use.
27.Governing law and jurisdiction
27.1.These terms of use, their interpretation, performance and any dispute relating to them shall be governed exclusively by the laws of the State of Israel, without regard to conflict of laws rules.
27.2.Exclusive jurisdiction over any dispute, demand or claim arising from these terms of use or from the use of the website, the system or the services shall be vested in the competent court in Tel Aviv-Jaffa, unless the law mandatorily requires otherwise.
